The Chopt name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Chopt or its affiliates or licensors. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.
Subject to your compliance with these Terms, Chopt grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial purposes. This license does not include:
- Any resale or commercial use of the Site or its Content.
- Any collection and use of product listings, descriptions, or prices.
- Any derivative use of the Site or its Content.
- Any downloading or copying of account information for the benefit of another merchant.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHOPT EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CHOPT MAKES NO WARRANTY THAT:
- The Site will meet your requirements or expectations.
- The Site will be available on an uninterrupted, timely, secure, or error-free basis.
- The results obtained from the use of the Site will be accurate, reliable, or satisfactory.
- The quality of any products, services, information, or other material purchased or obtained through the Site will meet your expectations.

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL CHOPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
- PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SITE;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SITE;

IN NO EVENT SHALL CHOPT'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCTS OR SERVICES PROVIDED THEREUNDER EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CHOPT IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations or exclusions may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Chopt and its respective officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of any applicable law, rule, or regulation.

You agree not to settle any such matter without the prior written consent of Chopt. Chopt will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
9. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Chopt operates, without giving effect to any choice of law or conflict of law provisions. Specifically, where applicable:
- Consumer protection matters shall be governed in part by the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq.
- Electronic commerce transactions shall be governed in part by the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
- Data privacy matters shall be governed by applicable federal and state privacy laws, including the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) to the extent applicable.
- Food safety and labeling matters shall be governed by the Federal Food, Drug, and Cosmetic Act (FD&C Act) and regulations promulgated by the Food and Drug Administration (FDA).
Any legal action, suit, or proceeding arising out of or relating to these Terms or the services provided by Chopt shall be instituted in the federal or state courts of competent jurisdiction in the United States. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action in such courts.
10. Dispute Resolution
10.1 Informal Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the services provided by Chopt, the parties agree to first attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice. Both parties agree to negotiate in good faith during this period.
10.2 Binding Arbitration
If informal resolution is unsuccessful, any unresolved dispute, claim, or controversy shall be resolved through binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration shall be conducted by a recognized arbitration organization under its applicable rules and procedures. The arbitration shall take place in the United States, and the arbitrator's award shall be final and binding.
CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND CHOPT EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND CHOPT WAIVE ANY RIGHT TO A JURY TRIAL.
10.3 Exceptions to Arbitration
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened misappropriation or infringement of a party's intellectual property rights or to prevent irreparable harm.
10.4 Time Limitation
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
11. Term and Termination
These Terms of Service are effective from the date you first access or use the Site and shall remain in full force and effect until terminated in accordance with the provisions herein.
11.1 Termination by You
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Your obligation to pay any amounts owed to Chopt prior to termination shall survive the termination of your account.
11.2 Termination by Chopt
We reserve the right to suspend or terminate your access to the Site, with or without cause, and with or without notice, at any time and for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms. Upon any such termination, your right to use the Site shall immediately cease.
11.3 Effect of Termination
Upon termination of these Terms or your account for any reason:
- All rights and licenses granted to you under these Terms will immediately terminate.
- You must immediately cease all use of the Site and services.
